Shipping Policy

Shipping methods and carriers are evaluated on a case-by-case basis and restrictions may apply. We ship through a variety of carriers including FedEx, UPS, USPS, and other freight companies as required. All products are packed in a manner which allows them to arrive securely and safely. Expedited services and shipping insurance may be available for an additional charge upon request. All products are shipped FOB origin.

Pricing & Inventory

We reserve the right to cancel orders at our sole discretion. We attempt to ensure the accuracy of any and all information, including product specifications, pricing, availability, condition, and warranty.

Returns & Cancellations

All products ordered directly or indirectly from Vista are non-cancellable and non-returnable.

Credit Terms

If net credit terms are approved for your or your company, you agree to pay our invoices based on the terms provided to you as indicated on our invoice to you. Unpaid invoices past their due date are subject to a finance charge of 1.5% per month (18% per annum) and payable in US dollars only.

Electronic Payments

We reserve the right to charge a fee for use of electronic payment (Visa, MasterCard, American Express, Discover, and PayPal) on net terms invoices.

Third Party Purchases

We will act on the your behalf as an agent to satisfy order obligations, for the sole and limited purposes of obtaining products and services from third party sellers. When applicable, you the customer appoint us as its agent for the purpose of satisfying order obligations to Third Party Sellers.

Title to any products, services and warranty will be free and clear of all liens, claims, and encumbrances of any kind and shall pass directly from the Third Party Seller to you the Customer.

Miscellaneous

Shipping charges are the responsibility of the customer. Sales taxes and any applicable duties or customs charges are the responsibility of the customer.

Governing Law; Venue

This Agreement and any SOW will be governed by, and construed according to, the laws of the state of Michigan. You hereby irrevocably consent to the exclusive jurisdiction and venue of Kent County, Michigan for any and all claims and causes of action arising from or related to this Agreement.

Outside the United States

Customer agrees to comply with all export laws and regulations of the United States and other nations as applicable. Customer agrees they will not transfer or export, directly or indirectly, any product(s) acquired from V3 to any foreign nations or countries restricted under US and international applicable laws and regulations. Customer also acknowledges they are not located in, under the control of, employed or owned directly or indirectly by the nation or resident of any such country.

Customer agrees they will not use the product(s) in any activity related to the development, production, use, or maintenance of Weapons of Mass Destruction, as defined by the U.S. Dept. of Commerce, including without limitation uses related to nuclear, missile, and/or chemical/biological development and/or its production. Customer will not transfer, export, or re-export, directly or indirectly to any party engaged in any such activity.
